* Managed the proxy solicitation process, including the proxy solicitor and the exchange agent, which resulted in 75% shareholder approval of the merger transaction with a private investor group.
* Arranged $456.5 million of bank facilities to acquire 91% of Sterling's outstanding common stock in a merger transaction with a private investor group.
* Lowered borrowing margins and revolver commitment fees and consolidated two debt facilities by negotiating $275 million of new bank facilities.
* Improved investment performance by restructuring the investment management of the defined benefit plans, the 401-K plan, and the non-company stock portion of the employee stock ownership plan.

Manager Of Cash, Credit And Investor Relations (1989-1992)
Managed treasury operations—established a new cash management program for an acquisition. Supervised credit function—negotiated commercial letters of credit. Managed investor relations function. Managed two employees.

* Negotiated $185 million of bank facilities to acquire a Canadian chemicals business of which $165 million was non-recourse to the parent company.
* Fixed interest borrowing costs during a period of low cash flow by hedging a portion of floating-rate revolver debt through execution of fixed interest rate swaps.
* Minimized the effect of Canadian dollar currency fluctuations through a forward contract hedging program.

Manager Of Debt And Investment (1987-1989)
Managed reporting requirements under debt agreements, negotiated amendments to debt agreements and coordinated debt repayments.

* Lowered borrowing margins, released collateral and permitted the payment of $180 million in extraordinary dividends to shareholders by renegotiating the company's revolving credit agreement.
* Improved the compliance reporting system for the debt agreements by correcting reporting errors to lenders which resulted in the elimination of audit comments from the independent auditors.
