* Lowered interest costs by $5.5 million on an NPV basis for a joint venture by refinancing a $238 million synthetic lease for construction of a deepwater rig.

* Negotiated a $400 million term loan facility to finance an acquisition in December 1999.
* Lowered interest costs by approximately $45 million over six quarters by executing $700 million of floating interest rate swaps on the 6.625% notes due April 2011.
* Consolidated the company's U.S. cash management activities with a credit bank through implementation of Wells Fargo's PC Manager cash management system.
* Increased corporate control of field cash by integrating the U.S. Dollar cash management program of Sedco Forex through implementation of the Chase Insight system and Citrix software.
* Integrated the U.S. cash management program of an acquisition and established a separate cash management program for a subsidiary that was eventually taken public in an IPO.
* Lowered interest costs on short-term borrowings by implementing an $800 million A2/P2 commercial paper program with four dealers.
* Arranged $100 million of bank facilities for issuance of standby letters of credit to support the company's contract bidding activities.

* Managed the proxy solicitation process, including the proxy solicitor and the exchange agent, which resulted in 75% shareholder approval of the merger transaction with a private investor group.
* Arranged $456.5 million of bank facilities to acquire 91% of Sterling's outstanding common stock in a merger transaction with a private investor group.
* Lowered borrowing margins and revolver commitment fees and consolidated two debt facilities by negotiating $275 million of new bank facilities.
* Improved investment performance by restructuring the investment management of the defined benefit plans, the 401-K plan, and the non-company stock portion of the employee stock ownership plan.

* Negotiated $185 million of bank facilities to acquire a Canadian chemicals business of which $165 million was non-recourse to the parent company.
* Fixed interest borrowing costs during a period of low cash flow by hedging a portion of floating-rate revolver debt through execution of fixed interest rate swaps.
