Job descriptionThis position is in charge of ensuring sufficient legal oversight and insurance coverage for a mega multi-billion dollar project and other activities for the whole of Client’s Project.
Reports to Position Title: Assets Director
Mission:
Provide legal advice, executing legal matters, and representing Client in courts of law / arbitration forums as necessary. Source and administer insurance coverage for Client’s operations in Indonesia.
Key Job Responsibilities:
Legal
• Liaise with Client’s Corporate HQ Legal and define & formalize Client’s legal policies and standards including Corporate referral policy in Indonesia
• Specify legal involvement in processes owned by other groups (for example, Contracts & Procurement)
• Oversee review of terms and conditions of all contracts/agreements entered into by Client and other third parties to limit its exposure to legal risk and liability. Manage legal group’s interaction with internal stakeholders, which includes:
o Procurement and Contracts team (i.e. major contract awards)
o Gas & Crude Oil Commercial Group (i.e. oil and gas sales agreements)
o Finance Group (i.e. loan agreements)
o Other stakeholders and groups as required (i.e. other agreement types such as partnerships or memorandums of understanding)
• Oversee review of terms and conditions of PSC terms and conditions and lead renegotiations, facilitating involvement of asset management and Corporate Legal as required
• Oversee provision of legal counsel to any group within Client as required (including regulatory matters), balancing workload between the legal teams to do so
• Participate in business discussions / negotiations and provide legal advice as required
• Advise Internal Auditor on legal issues / participate in internal audits as required
• Provide administrative legal support
• Oversee Client’s legal response (whether managed internally or via outside counsel) if required. This includes:
o Representation in courts of law o Identification / recommendation of appropriate outside counsel to represent / advise Client o Proper documentation of supporting data / evidence
Insurance
• Identify insurance and risk management needs of Client activities, assets and personnel and design appropriate strategy / plan
• Oversee planning and execution of road shows to source and procure appropriate insurance coverage for Client
• Define and oversee process to manage claims and disputes
Development & Leadership
• Ensure behaviors, performance, and resourcing of own group support of Client Project’s goals, company policy and standards
• Participate in business planning, budgeting, Systems Integration, peer reviews, and other initiatives as required
• Encourage commitment to continuous improvement and knowledge sharing from subordinates
• Ensure Legal & Insurance team works cooperatively as a joint pool of lawyers, despite “Client’s Project” and “general” designations
• Mentor and appraise staff in own group
• Any other activities as requested to support Client’s Project success
Requirements• Strong understanding of PSC terms and conditions in Indonesia
• Deep knowledge of Indonesian and international laws, legal codes, court procedures, precedents, government regulations, executive orders, agency rules pertaining to corporations and the oil & gas industry
• Strong understanding of oil and gas industry best practices for risk management with regards to insurance and demonstrated experience in ensuring appropriate coverage for a large oil and gas project
• Have working experiences in Indonesia
Law degree
10+ years in Oil and Gas industry on oil and gas
